1. Acceptance of Terms

By accessing or using TereLight's website, AI chatbot, or voice agent services ("Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you must not use our Services.

We may update these Terms at any time. Continued use of the Services after any changes take effect constitutes your acceptance of the revised Terms. We will endeavour to notify clients of material changes where reasonably practicable.

2. Description of Services

TereLight provides AI-powered chatbot and voice agent solutions, including design, configuration, deployment, and ongoing management. Services may include:

  • Custom AI chatbot and voice agent development

  • Integration with client systems, including websites, CRM platforms, and booking systems

  • Ongoing maintenance, optimisation, and usage management

  • Prototypes, demos, and testing environments

Our Services are delivered with the assistance of third-party providers and platforms. These providers support the operation and performance of the Services.

3. Third-Party Services and AI Systems

TereLight's AI-powered Services operate through third-party technology platforms. By using our Services, you acknowledge and agree that:

  • AI outputs are generated by third-party systems beyond TereLight's direct control

  • Service performance depends on external providers and their availability

  • Interruptions, delays, or errors may occur as a result of third-party failures

TereLight is not liable for failures, inaccuracies, or downtime caused by third-party providers. Where relevant, clients agree to comply with applicable third-party terms that underpin the Services.

4. AI Output Disclaimer

AI-generated responses are non-deterministic in nature and may be inaccurate, incomplete, outdated, or misleading. TereLight does not guarantee:

  • The accuracy or completeness of AI-generated responses

  • Suitability of outputs for business-critical decisions

  • Compliance of outputs with legal or regulatory requirements

Client Responsibility

You are solely responsible for reviewing, validating, and approving chatbot behaviour and AI outputs before relying on them in customer-facing or operational contexts. TereLight accepts no liability for decisions made based on AI-generated content.

5. Client Responsibilities

By using our Services, you agree to:

  • Provide accurate and lawful content for chatbot training and configuration

  • Ensure you hold the necessary rights to all data and materials provided to TereLight

  • Review and approve chatbot responses prior to deployment

  • Monitor chatbot interactions with end users on an ongoing basis

  • Ensure compliance with applicable laws, including consumer protection, advertising standards, and data protection laws

You remain fully responsible for all information communicated by your chatbot and for any outcomes arising from chatbot interactions with your customers.

6. Acceptable Use

You agree not to use the Services to:

  • Engage in unlawful, fraudulent, or misleading activities

  • Send spam or conduct unauthorised automated communications

  • Impersonate individuals or organisations without clear disclosure that the system is AI-operated

  • Generate harmful, abusive, threatening, or discriminatory content

  • Violate intellectual property rights or the privacy of any individual

  • Collect or process personal data in violation of applicable law

TereLight reserves the right to suspend or terminate Services immediately and without liability in the event of a violation of this section.

7. Accounts and Access

Where access credentials or dashboards are provided to you:

  • You are responsible for maintaining the confidentiality of your login credentials

  • You are responsible for all activities carried out under your account

  • You must notify TereLight immediately of any suspected unauthorised access or security breach

8. Payment Terms

General

Payments are due in full prior to delivery unless otherwise agreed in writing. We accept payment via approved providers, which may include Stripe, PayPal, or Revolut.

Subscription Fees

TereLight Services are provided on a subscription basis only.

- Subscription Fees: Recurring fees billed monthly or annually, covering access to the AI system, hosting, AI usage, maintenance, and ongoing improvements.

Fees are billed in advance for each billing period unless otherwise agreed.

Invoices must be settled within the timeframe specified. Failure to pay may result in suspension or termination of Services without further notice. 

Refunds

Due to the bespoke and customised nature of our Services:

  • All payments are non-refundable once delivery or deployment has occurred

  • Refunds may be considered at TereLight's sole discretion in cases of material and demonstrable service failure

9. Intellectual Property

Ownership

All chatbot frameworks, systems, templates, and underlying architecture developed by TereLight remain the exclusive property of TereLight until full payment has been received.

Licence

Upon receipt of full payment, the client receives a non-exclusive, non-transferable licence to use the delivered chatbot solution for their own business purposes.

Restrictions

Unless expressly authorised in writing by TereLight, clients may not:

  • Resell, sublicense, or white-label the chatbot solution to third parties

  • Reverse engineer, decompile, or attempt to replicate the underlying systems

  • Claim ownership of TereLight's proprietary technology or methodology

10. Data and Privacy

TereLight processes data in accordance with applicable data protection legislation, including the General Data Protection Regulation (GDPR) where applicable.

We may use anonymised and aggregated interaction data to improve system performance and service quality. Clients are responsible for:

  • Providing required privacy notices and disclosures to their end users

  • Obtaining any necessary consents for data collection and processing

  • Ensuring all data provided to TereLight is collected and shared lawfully

11. Service Performance and Availability

TereLight aims to provide reliable and high-quality Services. However, we do not guarantee:

  • Continuous or uninterrupted uptime

  • Error-free performance at all times

  • The ongoing availability of third-party systems or APIs

TereLight is not liable for:

  • Third-party API failures or outages

  • Hosting or infrastructure downtime beyond our reasonable control

  • Data loss caused by failures of third-party platforms

12. Limitation of Liability

To the maximum extent permitted by applicable law, TereLight shall not be liable for:

  • Indirect, incidental, special, or consequential damages of any kind

  • Loss of profits, revenue, data, or business opportunities

  • Errors or inaccuracies in AI-generated outputs

  • Decisions made or actions taken in reliance on chatbot responses

  • Failures or unavailability of third-party systems

In all cases, TereLight's total aggregate liability shall not exceed the total amount paid by the client for the specific Service giving rise to the relevant claim.

13. Termination

TereLight may suspend or terminate Services immediately, without prior notice or liability, if:

  • Fees remain unpaid beyond the agreed payment period

  • These Terms are materially breached

  • Services are used for unlawful, abusive, or prohibited purposes

  • Any applicable third-party provider terms are breached

Upon termination, access to the Services may be disabled without further obligation on the part of TereLight.

14. Cancellation

Clients may cancel subscription Services at any time by providing written notice to support@terelight.com. No refunds will be issued for:

  • Work already completed or delivered

  • Partially used billing periods

15. Changes to Services

TereLight reserves the right to modify, suspend, or discontinue any part of the Services at any time. Where reasonably practicable, we will provide advance notice of significant changes that materially affect the functionality or availability of the Services.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Latvia. Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Latvia, unless otherwise agreed in writing by both parties.
